                        JUDGMENT & ORDER (ORAL)

    1. Heard Mr. P. Nongbri, learned counsel for the petitioners who has

    submitted that the petitioner No. 1/M/s Manipur State Power Distribution

    SPONSORED

    Company Limited was incorporated on 15.07.2013 under the Companies

    Act, 2013 bearing Registration No. 008343 and is therefore a Public

    Limited Company.

    2. In course of its function, complaint has been made against the

    petitioner/Company by the Registrar of Companies, North Eastern Region,

    Shillong. The complaint pertains to certain cost audit report for the year

    ending 31.03.2014 (Financial Year 2014-15) and non-compliance or non-

    filing of the relevant report under Section 148(8) of the Company’s Act

    2013.

    3. Being aggrieved by such proceedings, the petitioners have

    approached this Court with this application under Section 482 CrPC.

    4. However, in course of proceedings, the parties have resorted to the

    path of reconciliation and negotiations and accordingly the petitioners have

    approached the authorities concerned, that is, the Regional Director, North

    Eastern Region (Ministry of Corporate Affairs), Guwahati for

    compounding of the offences.

    5. The relevant authorities vide order dated 03.07.2026 have finally

    brought a closure to the dispute and has held as follows:

    “9. Therefore, the offence as mentioned above stands compounded

    against the aforesaid applicants (Company and its thirteen

    Directors) and the compounding application is hereby disposed of

    accordingly.”

    6. In view of such order the learned counsel for the respective parties

    have submitted that nothing survives in this petition, the same may be

    disposed of with a direction to the Trial Court to take up the matter as and

    when withdrawal petition by the respondent herein is filed.

    7. Mr. R. Debnath, learned CGC appears for the respondent and

    assures the Court that the same will be done so at the earliest.

    8. In view of the changed circumstances and pursuant to the said

    order dated 03.07.2026, this Court is also of the opinion that nothing

    survives in this petition, the same is hereby disposed of accordingly.

    9. Parties are at liberty to approach the Trial Court for necessary

    orders.
