About the Opportunity
NexGen Legal is hiring a Legal Associate for its Corporate & Commercial Law practice. The selected candidate will work on commercial contracts, corporate advisory, legal research, and regulatory compliance while advising clients on complex business and legal issues.
Eligibility Criteria
Applicants must:
- Hold an LL.B. degree from a recognized university.
- Have 2 – 4 years’ post-qualification experience (PQE) in Corporate & Commercial Law.
- Possess prior experience at a law firm handling corporate and commercial matters (preferred).
- Have strong commercial contract drafting and negotiation skills.
- Be well-versed with the Indian Contract Act, Companies Act, corporate governance, and commercial laws.
- Possess excellent legal research, analytical, communication, and client management skills.
Roles and Responsibilities
The selected candidate will:
- Draft, review, negotiate, and vet a wide range of commercial agreements, including Master Service Agreements (MSAs), Service Agreements, Vendor Agreements, Consultancy Agreements, Employment Agreements, Non-Disclosure Agreements (NDAs), Shareholders’ Agreements (SHAs), Joint Venture Agreements (JVAs), SaaS Agreements, Licensing Agreements, Partnership Agreements, Terms & Conditions, Privacy Policies, and other commercial documents.
- Advise startups, SMEs, and established businesses on corporate and commercial legal matters.
- Conduct legal research and prepare legal opinions, advisory notes, and commercial memoranda.
- Assist clients with corporate structuring, governance, regulatory compliance, and transactional matters.
- Identify legal and commercial risks and provide practical, business-oriented legal solutions.
- Independently manage multiple client mandates while maintaining high standards of drafting and professionalism.
