About the Job
King Stubb & Kasiva is hiring a Senior Associate – Capital Markets for its New Delhi office. The role involves advising clients on capital markets transactions, managing transaction execution, conducting due diligence, drafting transaction documents, and providing regulatory advice throughout the transaction lifecycle.
Eligibility
Applicants should have:
- 4–6 years of post-qualification experience (PQE). Candidates from the 2020–2022 batch are preferred.
- Prior experience in Indian Capital Markets, preferably with a recognised law firm.
- Strong exposure to Initial Public Offerings (IPOs) and other Equity Capital Markets (ECM) transactions.
- The ability to independently manage workstreams in a fast-paced environment.
Responsibilities
- Advise on Main Board and SME Initial Public Offerings (IPOs).
- Handle rights issues, preferential issues, Qualified Institutions Placements (QIPs), and other equity capital markets transactions.
- Conduct legal due diligence and prepare due diligence reports.
- Draft and review Draft Red Herring Prospectuses (DRHPs), Red Herring Prospectuses (RHPs), prospectuses, and other offer documents.
- Draft and negotiate transaction documents, legal opinions, and ancillary documentation.
- Advise on the Companies Act, 2013, SEBI regulations, stock exchange requirements, and other applicable laws.
- Coordinate with issuers, merchant bankers, registrars, auditors, regulators, and other intermediaries throughout the transaction lifecycle.
- Manage transaction execution and mentor junior associates.
