Hindustan Zinc Limited on Thursday said Pallavi Joshi Bakhru has resigned from its board, with effect from the close of business hours on April 30, 2026, citing independence and governance considerations.
“The resignation is on account of my association with Grant Thornton Bharat LLP and the proposed appointment of Walker Chandiok & Co LLP, as statutory auditors of certain group companies of Vedanta Limited,” said Pallavi Joshi in her resignation letter.
She added, “Both firms are members of Grant Thornton International, and the resignation is to comply with applicable independence requirements and good corporate governance practices.”
In a regulatory filing, the company said Bakhru’s resignation follows her association as a designated partner at Grant Thornton Bharat LLP and the proposed appointment of Walker Chandiok & Co LLP, member firms of Grant Thornton International, as statutory auditors for certain Vedanta Group companies. The move is aimed at ensuring compliance with applicable independence norms and good corporate governance practices.
Bakhru, who joined the Hindustan Zinc board as an independent director, confirmed there were no material reasons for her exit other than those stated. The company placed on record its appreciation for her contributions during her tenure.
Separately, the board approved the appointment of Dr Aruna Sharma as an additional independent director for a one-year term starting May 1, subject to shareholder approval at the ensuing annual general meeting.
Pallavi Joshi Bakhru leads the private client service offering at Grant Thornton Bharat and also heads the India-UK Corridor for the firm.
