About the Job
Corp Legex Advocates & Solicitors is inviting applications for the position of Associate – Corporate & Transaction Advisory. The role is intended for candidates with experience in corporate transactions and offers exposure to Corporate, Mergers & Acquisitions, and Transaction Advisory matters.
Eligibility
Candidates must:
- Be a Company Secretary with an LL.B. degree.
- Have 1–2 years of relevant post-qualification experience in Corporate, Mergers & Acquisitions, or Transaction Advisory.
- Possess strong drafting and legal research skills.
- Be detail-oriented with excellent communication and analytical abilities.
- Be capable of independently managing assignments with professionalism and accuracy.
Responsibilities
The selected candidate will:
- Draft, review, and negotiate transaction documents, including Share Purchase Agreements (SPA), Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), Business Transfer Agreements (BTA), Joint Venture Agreements (JVA), Non-Disclosure Agreements (NDAs), Term Sheets, and other commercial contracts.
- Assist in Mergers & Acquisitions, Private Equity, Corporate Restructuring, Due Diligence, and Investment Transactions.
- Advise on corporate and commercial law matters.
- Handle regulatory and corporate secretarial compliances under the Companies Act, 2013 and allied laws.
- Coordinate with clients, advisors, regulators, and other stakeholders throughout the lifecycle of transactions.
Location
Delhi NCR. Preference will be given to candidates residing in Delhi NCR.
