DLS Law Offices is inviting applications for the position of Senior Associate in its General Corporate / Private Equity–Venture Capital (PE-VC) / Mergers & Acquisitions (M&A) practice at its Noida office. This opportunity is ideal for experienced corporate lawyers seeking exposure to high-value transactions, strategic advisory, and direct interaction with investors, founders, and corporate clients.

Key Responsibilities:
• Advising on general corporate, commercial, PE/VC, and M&A transactions
• Conducting legal research, due diligence, and transaction analysis
• Drafting, reviewing, and negotiating Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), investment agreements, term sheets, board resolutions, legal opinions, and other transaction documents
• Structuring and executing PE/VC funding rounds, M&A transactions, and corporate reorganisations
• Advising on corporate governance, regulatory compliance, SEBI regulations, and Companies Act matters
• Independently handling investor-side and company-side transaction mandates
Eligibility & Preference:
• Minimum 5 years of Post-Qualification Experience (PQE) in General Corporate, PE/VC, and M&A matters
• Hands-on experience in term sheet negotiations, SSA, and SHA transactions
• Proven ability to independently manage end-to-end corporate transactions
• Excellent legal research, drafting, analytical, and negotiation skills
• Strong client interaction and professional communication abilities
• High standards of integrity, accountability, and professionalism
