Coforge Completes Regulatory Approvals for Encora Acquisition, Aiming for $2.5 Billion Revenue, ETLegalWorld

Coforge has secured all statutory and regulatory approvals across jurisdictions for its acquisition of Encora, clearing the path for closing the transaction by the end of April 2026, said the Company in their exchange filing.

The IT services firm had announced its intent to acquire Encora in December 2025 to create an AI-native engineering services company with an annualised revenue run rate of about $2.5 billion. Post integration, the combined entity is expected to have a $2-billion core focused on data, AI-led engineering and cloud-based services .

Coforge said integration planning is progressing in line with the earlier communicated schedule, with the integration management office tracking workstreams across functions. Leadership continuity has been ensured, with all senior leaders asked to stay having accepted their roles, the company added .

The company is also advancing a cost optimisation programme targeting general and administrative functions, which is expected to deliver a 20–25% reduction in G&A costs for the combined business within the projected timelines, supporting its margin guidance .

Front-end commercial and sales teams of both organisations are set to begin collaborative operations immediately after closing, signalling confidence in the strategic rationale and synergy realisation, Coforge said.

“The transaction has gone exactly as per plan and every element of anticipated synergies is on course to be realised,” said Sudhir Singh, chief executive officer and executive director of Coforge. He added that the combined firm aims to operate as a US$2.5 plus billion firm on a run rate basis, with a US$2 billion enterprise core of AI-led engineering, data, and cloud services.

The disclosure was made in a regulatory filing to the BSE and the National Stock Exchange of India on Sunday.
