Geopolitical disruptions, supply chain volatility, and regulatory uncertainties are increasingly shaping the legal landscape for global businesses. Delivering the Chairperson address at the Global Legal Convention 2026 by ETLegalWorld, Hemanth Kumar, Global General Counsel at Larsen & Toubro (L&T), highlighted how in-house legal teams must adapt their strategies to address evolving risks across international markets, particularly in regions such as the Middle East where large infrastructure investments are concentrated.Kumar pointed out that companies with large overseas projects are currently facing complex operational challenges, from disruptions in gas supply and shipping to geopolitical tensions affecting project execution. For legal teams, this requires careful interpretation of contractual provisions such as force majeure. “Sometimes force majeure clauses include the term ‘war’, but in many regions where tensions exist, no formal war has been declared. So one has to be very careful before invoking such provisions,” Kumar noted, adding that premature or incorrect invocation can weaken a company’s contractual position.He further emphasised that many contracts, particularly in international projects, may not contain explicit force majeure clauses. In such situations, legal teams must rely on alternative legal doctrines available under different jurisdictions. “If your contract does not have a force majeure clause, there are still remedies, such as quasi-contract provisions or principles like quantum meruit—through which actual expenses incurred may be claimed,” Kumar explained, stressing the importance of meticulous documentation and financial records to support any claims.

Beyond contractual complexities, Kumar also highlighted the human dimension of global operations. Large-scale projects often involve thousands of workers deployed overseas, many accompanied by their families. In times of geopolitical tension, ensuring their safety becomes a critical legal and ethical responsibility. “Employees are the most important asset of any organisation. Companies must proactively engage with local authorities and project owners to ensure safety, protection, and stability for their workforce,” he said.
