TLH, Advocates & Solicitors represented MosChip Technologies Limited in its proposed acquisition of 73% controlling stake in Vayavya Labs Private Limited for an aggregate consideration of INR 245.49 crore, subject to receipt of all requisite statutory, regulatory and other approvals.
Vayavya Labs, headquartered in Belagavi, is a “silicon-to-system” engineering services company with expertise spanning across semiconductors, consumer electronics, automotive, electronic design automation, and communications, and a presence in key international markets such as the United States, Europe, Israel, and Japan, the company delivers end-to-end engineering solutions and collaborates closely with clients on next-generation technologies.
The acquisition significantly strengthens MosChip’s software-led Product Engineering Solutions business, with synergies spanning embedded software, ADAS validation, automotive functional safety, and virtualization technologies, a combined delivery footprint across six strategic locations in India and the United States, and cross-sell opportunities across both client bases. Post-acquisition, MosChip is expected to scale beyond 2,000 employees with an expanded global delivery footprint.
